Definitions

Unless repugnant to the context, the terms used in these Terms and Conditions (T&C) have the following meanings:

  • Client: In case of an individual, any person who has an account on the Platform and entered into a Service Agreement with Knight Fintech; or in case of persons other than individuals, an entity holding an account and accessing the Platform through authorised representatives.
  • Counterparty: Any person with which the Client enters or may potentially enter into arrangements, contracts or agreements through the Platform.
  • Force Majeure Event: Events beyond reasonable control including strikes, war, natural disasters, telecom failures, or government actions.
  • Knight Fintech: Knight Fintech Private Limited, including its successors and assigns, registered under the Companies Act, 2013.
  • Platform: The platform and sub-platforms launched by Knight Fintech for offering Services.
  • Personal Data: Sensitive personal data or information as defined under the Information Technology Rules, 2011.
  • Services: Products or services offered through the Platform including lending, securitisation, investments, and transaction facilitation.

Acceptance of Terms & Conditions

Access to the Platform and Services is conditional upon irrevocable acceptance of these T&C.

Clients must execute any additional agreements required by Knight Fintech.

Clients confirm legal authority to enter into contracts.

Knight Fintech provides facilitation only and is not liable for transactions between Clients and Counterparties.

Use of the Platform is at the Client’s sole risk.

Clients are solely responsible for data uploaded to the Platform.

Clients confirm they have all permissions to upload or share data and that it does not infringe third party rights.

Clients remain liable for any breach of obligations under these T&C.

Use of Platform and Services

Clients agree they have independently assessed the Platform for suitability.

Knight Fintech owes no fiduciary duty unless explicitly agreed in writing.

All transactions are conducted solely between Clients and Counterparties.

Knight Fintech may obtain required data from authorised or statutory sources.

Platform access is non-exclusive, limited, and non-transferable.

Clients must maintain security of login credentials and restrict access to authorised personnel.

Clients must notify Knight Fintech of unauthorised account usage immediately.

Use of Platform must comply with applicable laws and must not be for illegal purposes.

General Undertakings of the Client

  • Clients shall not use automated tools, hacking, or deep links to access restricted content.
  • Clients shall not attempt unauthorised system access.
  • Clients shall not introduce malware or malicious software.
  • Clients must upload only lawful and relevant data.
  • Clients shall not distribute harmful or illegal files.
  • Clients shall not interfere with Platform functionality.
  • Clients shall not infringe intellectual property rights.
  • Clients shall not use the Platform for fraudulent or unlawful activities.
  • Clients shall not distribute offensive, defamatory or misleading material.
  • Clients shall not download files that cannot be legally distributed.
  • Clients shall not copy, distribute or create derivative works from Platform content.

Confidentiality

All Platform-related information, trade secrets, transaction data, and business materials are Confidential Information.

Clients must maintain confidentiality and ensure employees and agents do the same.

Confidential Information may only be disclosed to authorised personnel, regulatory authorities, or with written consent from Knight Fintech.

Clients must protect Confidential Information from misuse, loss, or unauthorised disclosure.

Confidential Information must only be used for Services-related purposes.

Data Protection

All data handling shall comply with the Information Technology Act and related rules.

Knight Fintech processes Personal Data only as required for Services.

Personal Data used beyond Services requires Client consent.

Knight Fintech maintains security safeguards to prevent data breaches and unauthorised access.

Knight Fintech complies with all applicable data protection laws.

Limitation of Liability

  • Knight Fintech is not liable for data transmission failures or technical faults.
  • Knight Fintech is not liable for malware affecting Client systems.
  • Knight Fintech is not liable for delays due to Force Majeure Events.
  • Knight Fintech is not liable for Counterparty breaches.
  • Knight Fintech is not liable for indirect losses including loss of business, profits or reputation.

Transfer of Rights

Clients cannot transfer rights or obligations without written consent from Knight Fintech.

Knight Fintech may assign or subcontract obligations without notifying Clients.

Security of Data

Knight Fintech follows industry standard security measures.

Clients grant Knight Fintech permission to store and transfer data for Services.

Knight Fintech may perform internal statistical analysis using non-personal data.

Intellectual Property

All Platform content, design, and software are owned by Knight Fintech.

Clients cannot use trademarks or proprietary materials without permission.

Knight Fintech may revoke Platform access for IP infringement.

Modification of Terms

Knight Fintech may modify these T&C without prior Client consent.

Continued use of Platform constitutes acceptance of updated T&C.

Temporary Suspension and Termination

Platform access may be suspended due to Force Majeure, maintenance or non-payment.

Knight Fintech is not liable for losses during suspension.

Certain provisions survive termination including confidentiality and liability clauses.

Disclaimer of Warranties

Clients use the Platform at their own risk.

Knight Fintech is not responsible for accuracy or safety of data exchanged between Clients and Counterparties.

Knight Fintech is not responsible for dispute resolution between Clients and Counterparties.

Indemnification

Clients agree to indemnify Knight Fintech against losses arising from misuse of Platform or violation of T&C.

Governing Law and Jurisdiction

These T&C are governed by Indian law.

Courts in Mumbai have exclusive jurisdiction.

Severability

If any provision becomes invalid, remaining provisions remain enforceable.

Waivers

Failure to exercise rights does not constitute waiver.

Partial exercise of rights does not restrict future enforcement.

Miscellaneous

The website may use cookies and pixel tags for preferences and analytics.

Cookies do not collect personally identifiable information.

Users may disable cookies through browser settings.
